1. Purpose

This license allows the source code and related materials to be publicly available for learning, experimentation, research, personal use, and other non-commercial purposes while reserving commercial rights to NEXTWAVE LABS (SMC-Private) Limited.

2. Permission

Subject to the terms of this license, you are granted a limited, non-exclusive, worldwide, royalty-free license to:

  1. View and study the source code.
  2. Download and copy the source code.
  3. Modify the source code for non-commercial purposes.
  4. Use the software for personal, educational, academic, research, experimental, or other non-commercial purposes.
  5. Create and use derivative works for non-commercial purposes.
  6. Redistribute the original or modified source code for non-commercial purposes, provided that this license and all applicable copyright notices remain included.

3. Commercial Use Prohibited

You may not use the software, source code, or derivative works for commercial purposes without prior written permission from NEXTWAVE LABS.

Prohibited commercial use includes, but is not limited to:

  1. Selling the software or derivative works.
  2. Licensing or sublicensing the software for payment or other commercial consideration.
  3. Incorporating the software or substantial portions of it into a commercial product or service.
  4. Offering the software or a derivative work as a paid hosted service, subscription service, SaaS product, or other revenue-generating service.

Commercial licenses may be separately granted by NEXTWAVE LABS.

4. Attribution

Any permitted redistribution of the software or derivative works must:

  1. Retain this license.
  2. Retain applicable copyright notices.
  3. Clearly state that the original software was developed by NEXTWAVE LABS.
  4. Clearly identify significant modifications, where applicable.

5. Trademarks and Brand Assets

This license does not grant permission to use the names, trademarks, service marks, logos, visual identities, or other brand assets of:

No person or organization may represent a modified or redistributed version as an official NEXTWAVE LABS product without prior written permission.

6. Contributions

Unless otherwise agreed in writing, contributions submitted to the project may be incorporated into the project under this license.

Submission of a contribution does not grant the contributor rights to the NEXTWAVE LABS or NEXTCARD names, trademarks, logos, or other proprietary brand assets.

7. Ownership

NEXTWAVE LABS and its licensors retain all ownership rights in the original software that are not expressly granted under this license.

This license grants permission to use the software under the stated conditions. It does not transfer ownership of the software, NEXTWAVE LABS intellectual property, or associated trademarks.

8. No Warranty

THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL NEXTWAVE LABS, ITS DIRECTORS, EMPLOYEES, CONTRIBUTORS, OR AFFILIATES BE LIABLE FOR ANY CLAIM, DAMAGES, LOSSES, OR OTHER LIABILITY ARISING FROM THE SOFTWARE OR ITS USE.

9. Termination

Any rights granted under this license automatically terminate if you violate its terms.

Upon termination, you must cease any use, distribution, or other activity that violates this license.

NEXTWAVE LABS may separately authorize continued use through written permission or a commercial license.

10. Commercial Licensing

Organizations or individuals wishing to use the software commercially must obtain separate permission or a commercial license from:

11. License Character

NWL-NC is a source-available license.

Software distributed under NWL-NC should not be described as “open source” solely by virtue of being publicly accessible under this license, because commercial use is restricted.
